About NetherForm Group
We are an Amsterdam team that forms and structures Dutch companies for founders and groups based outside the Netherlands.
What we do
A Dutch company is usually one part of a larger plan: a holding above operating companies, a finance or IP company, or a subsidiary or branch that gives a group its base in the EU market. We plan that part with the client, then set it up.
Around it, we do the work a Dutch company needs in order to run: the company form and later changes, the corporate bank account, VAT, bookkeeping and payroll, tax advice, licence applications, trade marks and founder permits. Each is a separate service, agreed on its own.

Setting up a Dutch BV from abroad, a subsidiary of a foreign group, or a branch of a foreign company.

Holding and group structures

How we work
A conversation
You describe the company or the structure and what it has to do. We ask about the group, the countries involved and the activity.
The conditions, set out
For each form, structure or route that fits the facts, we set out its conditions and filings. The choice is yours.
The file
We prepare the documents, the drafts for the notary, the filings and the applications, and tell you what we need from you.
The decision-makers act
A civil-law notary executes the deed, the KVK registers the company, the Belastingdienst (the Dutch Tax Administration), AFM, DNB or IND decides, and the bank onboards. We follow the file and report back.
Where our work ends
- We do not act as director, nominee or attorney-in-fact for a client's company.
- We do not sell or match companies; on a ready-made purchase we assist the buyer.
- A Dutch civil-law notary executes every deed; we prepare the file for it.
- AFM, DNB or IND grants authorisations and permits to the applicant, not to us.
- Business address clients receive the address service only: no bookkeeping, returns or legal work from us.
