Terms of Service

These terms cover this website and the services NetherForm Group provides to its clients. Please read them before you send us a form, start an engagement or pay an invoice.

Who these terms are between, and when they apply

These terms are between you and NetherForm Group, Keizersgracht 456, 1017 CD Amsterdam, Netherlands, which you can reach at info@company-formation-in-netherlands.com. In these terms, "we" and "us" mean NetherForm Group, and "you" means the visitor to this site or the client we work for.

The terms apply whenever you use this website and to every engagement we take on. Where an engagement letter sets out a particular piece of work and says something different from these terms, the engagement letter governs that work.

What we do, and what we do not do

We work on Dutch companies and on the structures built on them. Each service is described on its own page of this site; the limits below apply to all of them.

What we provide

  • Structuring and tax advice on Dutch companies and groups.
  • Preparing the file a notary needs to incorporate a company or transfer shares.
  • Registrations and filings with the Dutch authorities, on your instructions.
  • Bookkeeping, payroll and VAT administration.
  • Applications for licences, trade marks and founder residence permits.
  • Help with opening a business bank account.
  • A business address or virtual office, limited to domicile and mail handling.

What others do, and what we are not

  • A Dutch notary (notaris) executes every notarial deed. We are not notaries.
  • We are not a law firm and do not act as an advocaat (a lawyer admitted to the Dutch bar).
  • We are not accountants and hold no RA or AA title. We keep books; we do not audit or certify accounts.
  • We do not represent clients in court.

Services we do not provide, and one rule we apply

  • We never act as your director or as your general attorney-in-fact, and we do not find one for you.
  • We do not sell, broker or match companies. For an existing BV, we assist the buyer in a notarial share transfer.
  • We do not provide trust office services.
  • If you take our business address or virtual office, you do not also take bookkeeping, annual accounts, tax returns or legal assistance from us or our group.

Under Dutch law, each of these, including an address combined with bookkeeping, accounts, tax or legal work for the same client, is a trust service that needs a licence from De Nederlandsche Bank (DNB). We do not hold that licence.

Who decides each step, and what this site is

Decisions are made by others

Notaries, the KVK (the Dutch Chamber of Commerce), the Belastingdienst (the Dutch Tax Administration), the IND (the Immigration and Naturalisation Service), the AFM (the Dutch Authority for the Financial Markets), DNB, BOIP (the Benelux Office for Intellectual Property) and the banks each take their own decisions, under their own rules and on their own timetable.

We prepare the file, submit or file it on your instructions and follow it up. We do not decide anything on their behalf, and we do not guarantee an outcome or a date.

The information on this site

The guides and service pages give general information on Dutch law and tax as it stood on the date shown on each page. Laws, rates and fees change, and a page is not advice on your situation. We give advice only inside an engagement, on the facts you provide, so please do not act on a page of this site alone.

Your part, fees, payment and refunds

  1. Information and identification

    You give us complete and accurate information and documents, and tell us when they change. Before work starts, we identify you and your ultimate beneficial owners, as anti-money-laundering rules require of firms like ours.

  2. Fees

    We quote our fees for each engagement on request and agree them with you before work starts. State fees, notary costs and other third-party charges are separate, and we show them as such.

  3. Payment

    We invoice you, and each invoice states how it can be paid. Our payment page lets you settle an invoice by card or cryptocurrency. When you pay by card, the card details are entered on the card processor's own page and never reach this site.

  4. Refunds

    If a payment is made in error or for the wrong amount, tell us at info@company-formation-in-netherlands.com and we check it against the invoice and settle the difference with you. Whether any fee is returned when an engagement ends early is agreed in its engagement letter. These terms make no other promise of a refund.

Liability, confidentiality and your data

Liability

Our liability for an engagement is set out in its engagement letter and is limited as far as Dutch law allows. Nothing in these terms limits a liability that Dutch law does not allow to be limited. The general information on this site is given on the basis described under "The information on this site" above.

Confidentiality

We keep the information you give us confidential and use it for your engagement. The third parties we instruct for you, such as the notary, receive only what their part of the work needs. We disclose client information to others only where the law requires us to.

Governing law

Dutch law governs these terms, your use of this website and every engagement we take on.

Changes to these terms

We update these terms when our services or the law change, and the date at the top of this page moves with them. An engagement already agreed keeps the terms that applied when it started, unless we both agree otherwise in writing.
